Ahead of eBay Inc.’s separation with its PayPal payment services unit, two new independent directors have been appointed to the company’s board of members.
GoPro president Tony Bates and Gail McGovern, president and chief executive official of American Red Cross, were introduced by the Internet commerce giant to its board.
In a released statement, CEO John Donahoe said, “The appointments of Tony and Gail to the board represent our commitment to adding highly qualified independent directors in preparation for creating two world-class boards.”
With the addition of two new directors, the company currently has a total of 17 directors among the board members. 15 out of 17 directors are independent.
Two directors Richard T. Schlosberg and William C. Ford will be ending their tenure on eBay’s board on May 1, when the company will be holding its annual meeting. After the exit of both Schlosberg and Ford, eBay will be limited to 15 directors, out of which 13 will be independent.
Additionally, Jonathan Christodoro has been elected to the firm’s board under a previously announced standstill deal with Carl Icahn, the largest active shareholder of eBay.
In other development, the company said that its separation with PayPal unit is on track and will undergo as scheduled in the second half of this year.
